Terms of Service
These Terms of Service ("Terms") govern your access to the GrantDesk website at getgrantdesk.com and any separately approved future pilot (together, the "Service"), provided by JS Technology Solutions, Inc. ("JS Technology Solutions", "we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
GrantDesk currently presents an illustrative proposed grant-management workflow, not a working application or production agency system. Any separately approved future pilot and its implementation scope would be defined in writing. We may update, improve, or modify the website from time to time. Specific commercial terms, service levels, and pricing for a paid engagement are set out in the order form, statement of work, or subscription agreement between you and us, which supplement these Terms.
2. Accounts and acceptable use
- You are responsible for maintaining the confidentiality of your account credentials and for activity under your account.
- You agree to use the Service only for lawful purposes and in compliance with these Terms and applicable law.
- You will not misuse the Service, attempt to gain unauthorized access, interfere with its operation, or reverse engineer it except as permitted by law.
3. Customer data
If an agency separately approves a future pilot involving its data ("Customer Data"), permitted use, ownership, processing, retention, and any applicable model-use restrictions must first be agreed in writing. No agency production data environment or AI implementation currently exists. Our handling of personal information is described in our Privacy Policy.
4. Potential future automation
GrantDesk does not currently include a working AI or automated grant-review feature. Any future automation would require separate agency approval, implementation, and validation. Eligibility, scoring, funding, purchasing, and applicant-communication decisions remain with authorized agency staff.
5. Fees
Where the Service is provided on a paid basis, fees, billing frequency, and payment terms are as stated in your applicable order form or subscription agreement. Unless stated otherwise, fees are non-refundable except as required by law.
6. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by JS Technology Solutions and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights in the Service except the limited right to use it as described.
7. Third-party services
The public website may link to third-party services such as scheduling. No agency system integration is currently deployed. Any proposed production integration would require separate agreement, and third-party services remain subject to their own terms.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. No current production compliance capability is represented, and any proposed future pilot would not guarantee compliance with any law, regulation, or grant requirement.
9. Limitation of liability
To the fullest extent permitted by law, JS Technology Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the claim.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or as needed to protect the Service. Provisions that by their nature should survive termination will survive.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws applicable to JS Technology Solutions, Inc., without regard to conflict-of-laws principles, unless a signed agreement between you and us states otherwise.
